1. Introduction

These General Terms and Conditions of Use regulate the use of the website with the current address http://www.vhm.pt, with its current name or any other name it may adopt in the future (‘website’) of Vitor Hugo Coordenação e Gestão de Projetos, S.A (VHM), with corporate taxpayer identification number 503 040 630 and registered office at Rua de Júlio Dinis, n.º 242, Piso 2, Sala 205, 4050-318 Porto, and email addresses geral@vhm.pt (hereinafter ‘VHM’).

The use of this website by any user shall be governed by the following Terms and Conditions, the use of which implies acceptance by the user. If the user rejects these Terms and Conditions, the user must cease using the website. 
VHM may change or update, in whole or in part, these Terms and Conditions, as well as the Privacy Policy and the Cookies Policy. Any changes or updates to these Terms and Conditions, as well as to the Privacy Policy and Cookies Policy, will come into force as soon as they are published in the relevant section of the website.
Access to and use of the website is provided exclusively for personal use and for the promotion of VHM's activity. 
VHM reserves the right to assess at its discretion any user's compliance with these Terms and Conditions. Violation of the Terms and Conditions may result in the withdrawal of the licence to use granted by VHM pursuant to this paragraph, as well as the exercise of its rights to the fullest extent permitted by law. 
Users undertake to indemnify and hold harmless VHM, as well as its legal representatives, partners and employees, from any damages, liabilities, claims or demands for compensation, including expenses and costs of representation, brought by third parties as a result of the use of the website in terms that do not comply with these Terms and Conditions, and/or as a result of a breach of the conditions set out in these Terms and Conditions, and/or as a result of a breach of the representations and warranties contained in these Terms and Conditions.

2.    Licence

Without prejudice to the other clauses of these Terms and Conditions, VHM authorises any user to use this website for personal or informational purposes only, as provided for in these Terms and Conditions. The licence to use may be revoked by VHM at its discretion at any time. 

In accordance with the law and these Terms and Conditions, the user may not copy, use, transfer, rent, sub-licence, alter, adapt, attempt to modify or alter the source code, reverse engineer, decompile or disassemble, in whole or in part, the content of the website. By accessing the website, the user recognises and accepts that its content may be incomplete, inaccurate, not up to date, or may not meet their 

3.    Content and Limitation of Liability of VHM 

Access to and use of the website, including the display of web pages, are activities carried out by users.

Users are solely and exclusively responsible for the use of the website and its contents. VHM is not responsible or liable for any use (if any) of the website that does not comply with the legal provisions in force by users. 

Specifically, users are solely responsible for the communication of incorrect, false or third-party information or data without their consent, as well as for the incorrect use thereof. 

The contents of the website may contain inaccuracies or inaccuracies. VHM is not responsible, nor can it be held responsible, in any way, for the inaccuracies and errors, damages (if any) caused by or resulting from the use of information derived from the website or through the website by users. The user is solely and exclusively responsible for evaluating the information and content obtained through the website.

The website and all the information and content published on it may be altered by VHM at any time, periodically and/or without prior notice.

Considering that any content downloaded or otherwise obtained is the free decision of the user and is made at the user's own risk, any damage (if any) to computers or loss of data resulting from download operations carried out by the user will be the sole responsibility of the user and cannot be imputed to VHM. 

VHM assumes no responsibility for damages (if any) resulting from the impossibility of accessing the services made available through the website or for data (if any) caused by viruses, damaged files, errors, omissions, service interruptions, cancellation of content, issues related to the Internet, service providers or the telephone and/or telematic connection, unauthorised access, alterations to data, or related to the non-existence and/or malfunctioning of the user's electronic devices.  

The user is responsible for the safekeeping and correct use of their personal information, as well as for any damage or harm caused to VHM or third parties as a result of the incorrect use, loss or theft of personal information.

In cases of registration, the user is responsible for the safekeeping and correct use of their credentials, which allow access to the reserved area of the services. In these circumstances, the user is responsible for creating their username and password. The user is also responsible for providing specific information, which must be correct and up-to-date. Users may not choose a username belonging to a third party in order to use their identity. Similarly, the user may not use the username of a third party without their express consent.

The user must guarantee the confidentiality of their password and must not share it with third parties.

The user is entirely and exclusively responsible for any actions carried out through their user account, either directly or through third parties authorised by the user. VHM may revoke the licence, at its discretion and at any time, if any abusive, fraudulent or illegal act is identified.

VHM has adopted the appropriate technical and organisational measures to safeguard the security of the services it provides through the website, to ensure the integrity of electronic traffic data related to unauthorised forms of use or knowledge, as well as to avoid risks of dissemination, destruction or loss of confidential or non-confidential data and information of its users, contained on the website, or related to access - unauthorised or in breach of applicable legal provisions - to said personal data and information.

VHM does not and cannot guarantee that the website is free of viruses or any other element that may adversely affect the technology.

4.    Access to the Website. Interruption and Suspension

VHM uses its best endeavours to provide continuous access to the Website, however, access to the Website may be suspended, limited or interrupted at any time for any reason. Access to the website may be limited from time to time to allow for recovery, maintenance or the introduction of new features or services. VHM will use its best endeavours to restore access as soon as possible. VHM reserves the right to block access to any material and/or remove any material that may, in its discretion, cause a breach of these Terms and Conditions.

VHM reserves the right to terminate the accounts of users who violate these Terms and Conditions, including in situations where the user is found to be using proxy IP addresses in order to hide the use of multiple accounts, or wishes to be identified as being in a country other than the one in which they are actually located, or causes disruption to the operation of the website by any means.

5.    Protection of Personal Data

Users are advised to read and analyse the Privacy Policy, which forms an integral part of these Terms and Conditions, to understand how the website collects and uses users' personal data and for what purposes.

6.    Intellectual Property Rights

All rights are reserved. 

The content available on this website (including, by way of example only, logos, trade names, texts, images, graphics, drawings, sounds, databases, software, flow charts, presentation, audio and video, trademarks and patents, etc.) is protected by copyright and other intellectual and industrial property rights, which belong to VHM and/or third parties and are protected against unauthorised use, copying or disclosure by national laws and international treaties relating to Intellectual Property Rights.

None of the provisions of the Terms and Conditions and/or the contents of the website may be construed as implicitly conferring, accepting or in any way licensing the right to use any Material by any means, without the prior written consent of VHM or the third party owner of the Material or of the intellectual property rights published on the website. 

The use, copying, reproduction, alteration, republication, updating, downloading, sending by e-mail, transmission, distribution or duplication, or any other abusive act of the Material not specifically identified, but of an identical nature, is prohibited. As a user of the website, the user undertakes not to use the Material for illegal purposes and not to violate VHM's rights.

The user may, however, view and display the content of the website and/or the Material on a computer screen, store such content in electronic format on disc (but not on a server or on a memory device connected to the Internet) or print a copy of such content for their personal, non-commercial use, but must keep all information relating to intellectual property rights.

Access to the website does not give the user any rights over the content made available by VHM. 

7.    Links to other websites

In the event that the website provides links (‘Links’) to third party websites or to content provided by third parties (‘Other Websites’), VHM hereby informs you that the provision of links to such Other Websites is included solely for information purposes and for the convenience of the User. VHM does not control the Other Websites and, therefore, is not responsible for them, or for the contents or products that the Other Websites (including, without limitation, the reference to social networks), and shall not be liable for any damages or losses that may result from the use of the Other Websites by the User, as well as for the processing of personal data during Internet browsing operations. Access to any Other Website via a link on the VHM website is at the User's sole risk and responsibility.

The User should therefore pay particular attention when connecting to Other Websites through links on the VHM website and carefully read the respective terms and conditions and privacy policies.

8.    User Representations and Warranties

The user recognises and declares that:

a) has read and understood these Terms and Conditions;
b) will refrain from reproducing, duplicating, copying, selling, reselling or in any way commercially exploiting the website or its contents, or part thereof, as well as refraining from using or reproducing the trademarks or any intellectual or industrial property rights of VHM; 
c) not publish or use false, insulting or defamatory information;
d) refrain from using, directly or indirectly, the services or the website for purposes contrary to the law or in breach of the principles contained in these Terms and Conditions;
e) not propagate viruses, spyware, adware, rootkit, backdoor or Trojan viruses or other similar computer threats;
f) not use software or other automatic or manual mechanisms to copy or access control of the website or its content.

9.    Applicable law and jurisdiction

These General Conditions of Use, as well as the relationship between VHM and the User, shall be governed by and interpreted in accordance with Portuguese law. 
The parties agree to submit to the exclusive jurisdiction of the courts of the District of Oporto for the resolution of any disputes relating to these General Conditions of Use or the relationship between them.

10.    Miscellaneous Provisions

The nullity of any of the provisions contained in these Terms and Conditions shall be deemed to have been cancelled, with the remaining provisions remaining in full force and effect.
